Under Oman's Commercial Companies Law (Royal Decree 18/2019), all limited liability companies, joint stock companies, and partnerships above defined thresholds are required to appoint an independent auditor and file audited financial statements annually. For SAOG and SAOC entities regulated by the Capital Market Authority, the requirement is absolute; for LLCs, it applies where share capital or turnover exceeds statutory limits.
The audit must be conducted in accordance with International Standards on Auditing (ISA) and the financial statements prepared under IFRS. The Oman Tax Authority (OTA) also expects audited accounts as part of the corporate income tax filing process, making the annual audit a regulatory touchpoint for multiple authorities simultaneously.
A typical engagement follows three phases. Planning: the auditor gains an understanding of the business, assesses risk areas, and designs the audit approach — this phase is most efficient when management provides prior-year working papers and updated process documentation early. Fieldwork: substantive testing of balances, transactions, and controls occurs, supported by management representations and third-party confirmations. Reporting: the auditor issues the opinion, a management letter with control observations, and any required regulatory submissions.
